GENERAL TERMS AND CONDITIONS

The sale of products or services by Heidelberg Biolabs GmbH (hereafter referred to as "Heidelberg Biolabs" or “Supplier”) to business partners (hereafter referred to as “Client”) shall exclusively be governed by the “General Terms and Conditions of Heidelberg Biolabs GmbH” in the version respectively in effect at the time of the conclusion of each contract.

FOR PRODUCTS

All products delivered by Heidelberg Biolabs are for research purposes only.
The products are only to be used by trained users in laboratories equipped to perform life science research.
The products are shipped cooled at dry ice in Styrofoam box.
Shipping and handling will be charged extra on a per box basis.
Shipment costs will depend on parcel weight, parcel dimensions, country to be shipped, and shipment mode. For more information, please inquire: info[at]heidelbergbiolabs.com or info[at]heidelbergbiolabs.de.
Delivery times may differ for different products. Most products will be shipped within 5 working days after confirming the Client's order. Deviating delivery times will be communicated to the Client as fast as feasible.
Unless otherwise stated, all prices are net and are subject to change without prior notice.
Unless specified otherwise, Client shall settle the invoice within thirty (30) days after receipt of the invoice.
Supplier remains the owner of products until the complete settlement of the corresponding invoice.
Client is responsible for sufficient insurance coverage and proper storage of goods during the period of retention of property.
Obvious defects of goods have to be claimed in writing within seven (7) days of receipt.
In case of valid claims, Supplier is entitled to make a replacement or amendment of the product.
Visibly damaged packaging has to be claimed with the transport service during receipt of goods.
Supplier will not be responsible or accept liability for products lost, damaged, or compromised in transit due to carrier’s negligence from Supplier to Client.
Client may send back goods delivered by the Supplier only with the permission of the Supplier

FOR SERVICES

Heidelberg Biolabs will perform each project in accordance with the quotation and in accordance with all applicable federal, state and local laws, rules and regulations.
Heidelberg Biolabs will receive shipments from Client per Heidelberg Biolabs’ procedures. Heidelberg Biolabs will not be responsible or accept liability for materials lost, damaged or compromised in transit from Client to Heidelberg Biolabs.
At all times, samples shall remain the property of Client.
In the event Heidelberg Biolabs has agreed to ship materials to a Client, Heidelberg Biolabs will package materials using appropriate packaging and in accordance with prevailing regulations. All transportation and associated costs will be at Client’s expense.
Heidelberg Biolabs will maintain written and electronic records, accounts, notes, reports and data relating to its performance (the “Records”). Except as otherwise agreed in writing, Heidelberg Biolabs will retain a copy of the Records containing experimental descriptions and data generated from this quotation for a period of up to one (1) year from their generation. After this time Heidelberg Biolabs will be entitled to destroy the Records.
Communication of Records and Record Retention. Heidelberg Biolabs will timely communicate all Records to Client to the extent required. Records that Heidelberg Biolabs retains will be available for Client review at Client request and expense.
Upon completion of the project, all applicable materials in the possession of Heidelberg Biolabs will be discarded unless otherwise agreed upon in writing.
Heidelberg Biolabs may subcontract any portion of the services to a third party without the prior written consent of Client, provided Heidelberg Biolabs remains liable for the performance of the third party.
Client will pay and/or reimburse Heidelberg Biolabs all sums owed hereunder according to the quotation. Client will be invoiced before delivery of the results or as otherwise agreed to.
Heidelberg Biolabs reserves the right to require from Client full or partial payment in advance.
